These Terms of Service ("Terms") govern your use of icai.com (the "Site") and the services offered by ICAI Strategic AI & SEO ("ICAI," "we," or "us"), which also operates as ICAI Strategic Marketing and ICAI Growth. Our address is 10488 W. Centennial Rd #514, Littleton, CO 80127.
These Terms cover two things:
Paid services are also governed by a written proposal, statement of work, or service agreement (a "Service Agreement"). If a Service Agreement conflicts with these Terms, the Service Agreement controls for that engagement.
By using the Site or engaging us, you agree to these Terms. If you do not agree, please do not use the Site or our services.
Our Site and services are intended for businesses. You must be at least 18 years old and, if you act for a business, have authority to bind that business to these Terms.
You agree to use the Site lawfully. You will not:
We may filter, hold, or block submissions we reasonably believe are spam or abusive.
Content on the Site is for general information about our services and about AI visibility and search. It is not legal, tax, or financial advice. Case studies and examples illustrate past work, and results vary by business, market, and starting conditions. Prices shown on the Site are subject to change and are confirmed in writing before work begins.
We do not control Google, AI assistants, search engines, business directories, or other third-party platforms, and they change how they work without notice. For that reason we do not guarantee any ranking, citation, mention, recommendation, traffic level, lead volume, or revenue outcome.
What we commit to is the work described in your Service Agreement, a clear process, and honest reporting. AI platforms can give different answers depending on the user, the prompt, the time, and the platform, so any measurement we report is an indicator, not a ranking or a promise.
A free AI Visibility Audit, strategy call, or consultation is informational. It reflects the information available to us at the time, is provided "as is," and creates no obligation for either of us. We may follow up with you about it.
The scope, deliverables, timeline, and fees for each engagement are set out in the Service Agreement. Work outside that scope requires a written change, which may adjust fees and timing.
You agree to:
Delays caused by missing access, information, or approvals may delay results and deliverables.
You keep ownership of your own accounts, listings, domains, and profiles. Work on third-party platforms is subject to those platforms' rules, and we are not responsible for platform decisions such as suspensions, penalties, removals, or policy changes.
We may use AI tools to help produce research, content, and automation. We review our work before delivering it. You are responsible for reviewing and approving content before it is published under your name, including the accuracy of facts about your business.
Fees, billing schedule, and payment methods are stated in your Service Agreement or invoice. Fees do not include taxes or third-party costs such as directory fees, software subscriptions, or advertising spend unless the Service Agreement says so. If an invoice is overdue, we may pause work after written notice until the balance is paid. Unless your Service Agreement says otherwise, fees for work already performed are not refundable.
The term and any notice period are set out in your Service Agreement. Either of us may end an engagement by written notice as stated there, or for a material breach that is not fixed within a reasonable time after written notice. When an engagement ends, you will pay for work performed through the end date, and we will reasonably hand over completed deliverables and return or remove any access you granted us. Sections that by their nature should continue (including ownership, confidentiality, disclaimers, limits on liability, and governing law) continue after termination.
The Site, its content, and our methods, frameworks, templates, processes, tools, and report formats belong to ICAI. You receive no rights in them except the right to use the deliverables we provide to you.
You keep ownership of your content, brand, trademarks, and data. You give us a limited license to use them to perform the services. We will use your name, logo, or results as a public reference only with your written permission.
After you pay in full, you own the final written content and website work we create specifically for you. This does not include our pre-existing tools and methods, or third-party materials, which stay under their own licenses.
Each of us will protect the other's non-public business information, use it only for the engagement, and not disclose it except to people who need it to perform the work and are bound to protect it. This does not apply to information that is public, already known to the recipient, independently developed, or lawfully received from someone else. A party may disclose information when required by law, after giving notice where allowed. These duties continue for two years after the engagement ends, and for trade secrets as long as they stay trade secrets.
Our Privacy Policy explains how we collect and use personal information. It is part of these Terms.
The Site links to third-party sites and services, including an independent scheduling service for booking calls. We do not control them and are not responsible for their content or practices. Their own terms and privacy policies apply when you use them.
The Site and any free materials are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We perform services in a professional manner, but as explained in Section 5 we do not warrant any particular outcome. We do not warrant that the Site will be uninterrupted or error free.
To the fullest extent permitted by law:
Nothing in these Terms limits liability that cannot be limited by law, including liability for fraud or willful misconduct.
You agree to defend and indemnify ICAI against third-party claims, and the reasonable costs of responding to them, that arise from materials or instructions you provide us, claims made in your marketing, your business operations, or your violation of law or these Terms.
These Terms are governed by the laws of the State of Colorado, without regard to conflict of law rules. If a dispute arises, each of us will first give the other written notice and try in good faith to resolve it for 30 days. After that, either of us may bring the claim in the state or federal courts located in Colorado, and each of us consents to their jurisdiction.
You agree that we may communicate with you electronically, including by email and through the Site, and that electronic communications satisfy any legal requirement that they be in writing.
We may update these Terms from time to time. The effective date at the top shows the latest version. Using the Site after an update means you accept the updated Terms. A Service Agreement can be changed only in writing signed or approved by both of us.
These Terms, together with any Service Agreement and the Privacy Policy, are the entire agreement between us on their subject. If a part is found unenforceable, the rest stays in effect. A failure to enforce a right is not a waiver of it. You may not assign these Terms without our written consent. Neither of us is liable for delays caused by events beyond our reasonable control. We are independent contractors, not partners, employees, or agents of each other.
